Minnesota's Annual Renewal costs $0. Not a discounted fee, not a waived fee for small companies. Nothing, every year, filed by December 31, starting the calendar year after formation. Almost no state does this.
Then the consequence for missing it goes badly out of proportion to the price. Minn. Stat. § 322C.0705 is the provision that does the damage: skip the December 31 deadline and the Secretary of State dissolves your LLC by operation of statute, with nothing sent to warn you first. No delinquency letter arrives. The entity simply stops existing as a matter of law, and reinstatement, though retroactive, runs the outstanding renewal alongside a $65 charge for mailed filings or $85 at the expedited rate.
