A Minnesota Fact That Changes the Question

Before you accept either price, consider whether you are required to buy this at all. Minnesota is unusual: a domestic LLC formed in this state may list no registered agent whatsoever in its articles, writing NONE on that line and staying in perfect standing, so long as it keeps a registered office at some real street address inside Minnesota.

That does not make the service pointless. It makes the purchase voluntary, which is a different thing, and it means the only fair test is whether the service earns its price. Minn. Stat. § 5.36 is where the surrounding rules live. It fixes who may serve, listing an individual who lives here alongside corporations and LLCs either formed in Minnesota or licensed to operate in it, and it demands that the agent's business office and the registered office share one address, which quietly eliminates anyone forwarding mail from another state. Companies registered in Minnesota from elsewhere do not get the NONE option; for them the appointment is mandatory.

The state uses one document for this, the Notice of Change of Registered Office/Registered Agent. Minnesota does not number its business forms, so the title is the identifier. It is filed with the Minnesota Secretary of State, Business Services.

Cost depends entirely on the channel, and Minnesota's pricing runs opposite to the pattern most states follow. Paper is $35. Electronic or over-the-counter is $55, since the state files both of those under expedited service and charges for the acceleration. Filing online is the premium option here, not the discount one.

Have the replacement in place before the notice goes in. That form will not go through without the incoming agent's name and Minnesota address written on it, so the appointment has to exist on paper before anything can be submitted, and canceling the ZenBusiness subscription first accomplishes nothing except leaving a stale name on your state record while you catch up.
